Capital participation through Citizens Ventures involves substantial risk, including the total loss of capital contributed. Nothing on this website is a guarantee, projection or assurance of any financial outcome.

The businesses we structure around are real operating enterprises exposed to real operating risk: revenue decline, cost inflation, lease and supplier disputes, key-person departure, local market contraction, regulatory change and competition. Franchise systems can underperform, retail centers can lose anchor tenants, and industrial operations can face demand cycles and equipment failure.

Participation interests are illiquid. There is no public market for them, transfer is restricted by the governing documents of each vehicle, and you should expect to hold for the full stated term. Distributions are not guaranteed and may be suspended, reduced or discontinued at any time.

Past performance of any project, operator or city program does not predict future results. Statistics shown on this website describe the network in aggregate and are not an offer or an indication of what any individual participant will receive.

Citizens Ventures structures and administers investment vehicles. It does not provide individualized investment, legal, tax or accounting advice. You should obtain independent professional advice before participating in any project.

Nothing on this website constitutes an offer to sell or a solicitation of an offer to buy any security in any jurisdiction where such an offer or solicitation would be unlawful.

Participation is available only to persons who satisfy the eligibility requirements of the relevant jurisdiction and of the specific project vehicle. Eligibility screening is completed before any subscription is accepted, and we may decline any applicant at our discretion.

All participation occurs through project-specific vehicles under separate written agreements containing the complete, controlling terms. Where those documents conflict with anything on this website, the documents govern.

Our full fee structure is published on the Programs and Services page and restated in each engagement letter and disclosure pack: a 2% structuring fee at close, a 1.5% annual management fee on deployed capital, and 15% performance participation above an 8% preferred return. Program, launch and advisory work is billed at published fixed fees.

Because we earn fees on capital structured and administered, we have an economic interest in projects proceeding. We manage this through independent diligence review, published screening criteria, written governance charters and a performance fee that pays nothing until the preferred return is delivered to participants.

We do not accept undisclosed referral payments, placement kickbacks or spread-based compensation from operators.

Membership provides access to information, project rooms and coordination services. It is not itself an investment, confers no ownership in Citizens Ventures, and does not guarantee an allocation in any project. Membership fees are billed in advance and are non-refundable for the period already served; you may cancel at any time to prevent future billing.

Program and advisory fees are governed by the applicable engagement letter, including its scope, milestone payment schedule and cancellation terms.

Content on this website may change without notice. We make no warranty that the information is complete, current or error-free, and to the fullest extent permitted by law we exclude liability for reliance placed on it.

We collect the information you provide directly — name, email, phone, organization, city and the substance of your enquiry or application — together with standard technical data such as browser type, device type and pages viewed.

We use this information to respond to enquiries, assess projects and applications, complete eligibility screening, administer memberships and vehicles, meet legal and regulatory obligations, and send communications you have requested.

We share information with professional advisers, diligence providers, payment processors and administrators strictly as needed to deliver these services, and with regulators or authorities where legally required. We do not sell personal information.

We retain records for as long as necessary to deliver services and satisfy legal, tax and regulatory retention requirements, then delete or anonymize them.

You may request access to, correction of, or deletion of your personal information, and may object to or restrict certain processing, by writing to global@ioxngroup.com. We respond to verified requests within the period required by applicable law.
